By accepting this agreement (the “Confidentiality Agreement”) and the offered incentive payment, you agree as follows:

1. You agree to hold in confidence all information disclosed by Afterpay to you, including, but not limited to, the Survey, any features, ideas and concepts being presented therein, any and all technical or business information about the Products which are disclosed, or made available to you directly or indirectly, or information you otherwise receive incident to your participation in the Survey (the “Confidential Information”). You agree to avoid discussing the above Confidential Information with friends and family members, or anyone; and you agree not to use or disclose any of the Confidential Information during and after participation in the Survey.

2. The Products to be shown to you, described to you, and/or used by you, are highly confidential and proprietary to Afterpay, and you will not give them or expose them to any third party or discuss with anyone your experiences concerning them.

3. That any ideas, patentable or not patentable, or suggestions contributed by you during the discussion, as well as any ideas, developments, or inventions conceived by you during your Survey Participation, shall be the property of Afterpay in any manner it sees fit.

4. No offer of sale is being made to you of the Products shown to you, described to you, and/or used by you. That any ideas, patentable or not patentable, or suggestions contributed by you in the Survey, as well as any ideas, developments, or inventions conceived by you as a result of your participation in the Survey, shall be the property of Afterpay in any manner it sees fit.

5. You agree that the Confidential Information is and shall remain the sole property of Afterpay. You recognize and agree that nothing contained in this Confidentiality Agreement will be construed as granting any property rights, by license or otherwise, to any Confidential Information, or to any invention or any patent, copyright, trademark, or other intellectual property right that has issued or that may issue, based on such Confidential Information. You will not make, have made, use or sell for any purpose any product or other item using, incorporating or derived from any Confidential Information. Neither this Confidentiality Agreement nor the disclosure of any Confidential Information hereunder shall result in any obligation on the part of Afterpay to enter into any further agreement with you, license any products or services to you, or require Afterpay to disclose any particular Confidential Information. Nothing in this Agreement creates or shall be deemed to create any employment, joint venture, or agency between you and Afterpay. 

6. AFTERPAY IS PROVIDING CONFIDENTIAL INFORMATION ON AN “AS IS” BASIS. AFTERPAY’S DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT OF THIRD PARTY RIGHTS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OR COMPLETENESS.

7. This Agreement and any action related thereto will be governed, controlled, interpreted, and defined by and under the laws of the State of Delaware, without giving effect to any conflicts of laws principles that require the application of the law of a different state. Any disputes under this Agreement may be brought in the state courts and the Federal courts for the county in which Afterpay’s principal place of business is located, and the Parties hereby consent to the personal jurisdiction and exclusive venue of these courts.

8. You acknowledge you are being sufficiently compensated for your participation in the Survey and that all information and opinions you provide are solely your own.

9. You hereby give permission to Afterpay for a video recording to be made of the Survey. You understand the video may be used by Afterpay for research purposes only.
