Afterpay Merchant Referral Program
Terms and Conditions
These Afterpay Merchant Referral Program Terms and Conditions (“Program Rules”) govern participation in the Afterpay Merchant Referral Program (the “Referral Program”). The Program Rules are in addition to any agreements between program participants and Afterpay, including the Afterpay Terms of Service [https://www.afterpay.com/terms-of-service], Afterpay Privacy Policy [https://www.afterpay.com/privacy-policy] and the Afterpay Merchant Agreement signed by the Advocate and Afterpay (collectively, the “Afterpay Terms”). The Afterpay Terms are incorporated herein by reference and shall apply to participation in the Referral Program, including, if necessary to resolve any disputes between you and Afterpay related to or arising out of the Referral Program.
1. Program Overview: The Referral Program is offered by Afterpay US, Inc. (“Afterpay”, “we”, “us”, “our”) and provides Current Merchants (“Advocates”) who are interested in referring other merchants (“Invitees”) to register for the Afterpay Platform, the opportunity to receive rewards. These Program Rules apply to both Advocates and Invitees, so please read them carefully to understand your respective rights and obligations.
2. Advocate Eligibility: To be eligible to participate in the Referral Program as an Advocate, you must: (a) be a legal resident of one of the fifty (50) United States or the District of Columbia and/or a business based in one of the fifty (50) United States or the District of Columbia; (b) be over the age of 18, or over the age of majority in the state or jurisdiction in which you reside; and (c) maintain an active Merchant Account in good standing as solely determined by Afterpay throughout the referral process. If you violate the Program Rules or any of the Afterpay Terms, Afterpay may, at its discretion, suspend or terminate your ability to participate in the Referral Program.
3. Invitee Eligibility: To be eligible to participate in the Referral Program as an Invitee, subject to additional restrictions below, you must: (a) be a legal resident of one of the fifty (50) United States or the District of Columbia and/or a business based in one of the fifty (50) United States or the District of Columbia; (b) be over the age of 18, or over the age of majority in the state or jurisdiction in which you reside; and (c) be able to abide by the terms required of Afterpay merchants on the Afterpay platform. Employees of Afterpay, its respective parent, subsidiaries, and affiliates, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such individual, whether or not related, are not eligible to participate in the Referral Program as an Invitee. Advocates are not eligible to be Invitees. Additionally, former Merchants of Afterpay are not eligible to participate in the Referral Program as an Invitee.
4. Referral Methodology: Afterpay will provide the ability for Advocates to share a referral link to join Afterpay via email communication, Facebook post, Facebook messenger and via Personal URL.
5. How to Refer Invitees: Advocates will share with Invitees a referral link to join Afterpay via email communication, Facebook post, Facebook messenger, or distribution of a Personal URL. Once a referred merchant (Invitee) clicks on the aforementioned Merchant’s referral link, they will receive access to a 30-day introductory rate. After 30 days, the Invitee understands that they will receive a rate to be determined by Afterpay.
6. Invitee Rewards: Invitees who register for the Afterpay Platform in the manner described in Paragraph 5 of these Program Rules are eligible to receive a rate reduction of 4% (the “Discount Rate”) applied to their first month of service on the Afterpay Platform. The Discount Rate is subject to change at Afterpay’s discretion.
7. Referral Rewards: Advocates are eligible to earn a reward (“Referral Reward”) for each Invitee referred to the Afterpay Platform by the Advocate, and who meets the Reward Criteria, defined below, (subject to certain maximum limits and other terms included in these Program Rules). For each such Invitee, the Advocate will be eligible to receive a Referral Reward consisting of one (1) one hundred and seventy-five dollar ($175) Visa gift card (subject to the terms, conditions, and restrictions as printed thereon or associated therewith) which will be distributed to the Advocate within 45 days or reasonable time as determined by Afterpay after the respective Invitee meets the Reward Criteria. Once an Invitee activates Afterpay on Invitee’s site(s), the Advocate will be eligible to receive the $175 Visa gift card. Specifically, the Advocate is eligible to receive a unique reward link, which they will click and be redirected to a website to redeem their gift card subject to specific terms and conditions and privacy policy.
Advocates will be notified via email (the “Reward Notification”) when they have earned a Referral Reward, and will be required to claim their Referral Reward via a link in the Reward Notification (subject to the terms, conditions and restrictions associated therewith).
8. Reward Criteria: For an Advocate to be eligible to receive a Referral Reward, the Invitee must: (a) register for the Afterpay Platform in the manner described in Paragraph 5 of these Program Rules; and (b) and one successful Afterpay transaction must be completed on Invitee’s site.
9. Reservation of Rights: Afterpay reserves the right to change the terms and conditions contained in these Program Rules at any time, without notice, at Afterpay’s sole discretion. Afterpay reserves the right to cancel, suspend, and/or modify this Referral Program, or any part of it, if any fraud, technical failures, or any other factor impairs the integrity or proper functioning of this Referral Program, as determined by Afterpay in its sole discretion. Afterpay reserves the right to withhold or deduct Referral Rewards obtained through the Referral Program in the event that Afterpay, in its sole discretion, determines or believes that the receipt or issuance of the Referral Award was in error, fraudulent, illegal, or in violation of the Program Rules or the Afterpay Terms. The preceding in no way precludes Afterpay from taking other actions against such individuals to protect its rights. Afterpay’s failure to enforce any provision of these Program Rules in a given circumstance does not constitute the waiver of such provision.
10. Release and Indemnity: By participating in the Referral Program, Advocates and Invitees, respectively, release and agree to hold harmless Afterpay, its parent, affiliates, and subsidiaries, and the directors, officers, agents, representatives, shareholders, employees, successors, and assigns of thereof, from any and all liability for loss, harm, damage, injury, cost, or expense whatsoever, including without limitation, economic loss, property damage, personal injury (including emotional distress), and/or death, arising out of or related to participation in the Referral Program, any Referral Program-related activity, and/ or acceptance, receipt, possession, or use/misuse of any Referral Award(s). WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, REFERRAL AWARDS ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND AFTERPAY HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND/OR NON-INFRINGEMENT.
11. Additional Terms and Conditions: Advocates and Invitees are responsible for any and all tax liabilities or consequences associated with their participation in the Referral Program. The Referral Program is void where prohibited by law. The Referral Program is a limited time offer and Afterpay reserves the right to terminate and/or modify the Referral Program at any time without prior notice.
12. Dispute Resolution/Governing Law: Please refer to applicable provisions in the Afterpay Terms for Dispute Resolution and Governing Law related to the Referral Program.
13. Privacy: By participating in the Referral Program, and subject to these Program Rules, each Advocate and Invitee agrees to Afterpay’s collection and use of his/her/its personal information and acknowledges that he/she/it has read and accepted Afterpay’s Privacy Policy, located at [https://www.afterpay.com/privacy-policy].
